The scope of any specific engagement will be defined in a written engagement letter or scope of work document issued prior to or at the commencement of services. We reserve the right to decline an engagement at our discretion and without obligation to provide reasons.

Service availability is subject to practitioner availability and current regulatory frameworks. We operate primarily in Singapore but may advise on matters with cross-border regulatory dimensions where appropriate.

6. Payment Terms

  • Fees are quoted in Singapore Dollars (SGD) and are inclusive of applicable Goods and Services Tax (GST) where required by law
  • Invoices are payable within 14 days of the invoice date
  • Payment may be made by bank transfer, PayNow, or such other method as agreed
  • We reserve the right to pause or discontinue services where invoices remain unpaid beyond agreed payment terms
  • Out-of-pocket disbursements (such as filing fees or agency charges) are billed separately unless otherwise agreed

Refunds are considered on a matter-by-matter basis. Where services have been partly rendered, fees are payable for the work completed to the date of termination.

7. Service-Specific Terms

Environmental Impact Assessment Support

This service provides legal support and advisory in connection with EIA processes. It does not include the preparation of technical environmental studies, which remain the responsibility of qualified environmental consultants. Our role is to advise on regulatory compliance, documentation requirements, and liaison with authorities including the National Environment Agency.

Carbon Credit & Sustainability Reporting Advisory

This advisory service addresses the legal and regulatory framework for carbon credits and sustainability reporting under Singapore law and applicable international standards. It does not constitute financial advice, investment advice, or an opinion on the commercial merits of any particular carbon credit instrument. Any reporting review is conducted from a legal compliance perspective only.

Regulatory Permit & Approval Assistance

This service provides legal support for the permit and approval process and does not extend to the preparation of technical reports, engineering assessments, or environmental monitoring. The outcome of regulatory applications is determined by the relevant authorities and is not within our control. We advise on the process, requirements, and documentation โ€” outcomes cannot be assured.

11. Termination

Either party may terminate an engagement by giving reasonable written notice. We may terminate an engagement with immediate effect in circumstances involving a conflict of interest, professional conduct obligations, or non-payment of fees.

Upon termination, you remain liable for fees and disbursements incurred to the date of termination. Provisions concerning intellectual property, disclaimers, liability, and dispute resolution survive termination of any engagement or these Terms.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore. In the event of a dispute arising from or in connection with these Terms or any engagement, the parties agree first to attempt resolution through good-faith discussion.

If informal resolution is not achieved within 30 days, either party may refer the dispute to mediation administered by the Singapore Mediation Centre. Should mediation fail to resolve the dispute, the matter may be referred to the courts of Singapore, whose jurisdiction the parties submit to for these purposes.

13. General Provisions

  • Entire Agreement: These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties in respect of the subject matter.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to exercise any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
